1. Introduction

This Acceptable Use Policy ("Policy") governs the access to and use of the Squire platform, including all associated software, services, features, content, and tools (collectively, the "Platform"), provided by Squire (Pty) Ltd ("we", "us", or "our"). By accessing or using the Platform, you ("User") acknowledge that you have read, understood, and agree to be bound by this Policy, as well as our Terms of Service and Privacy Policy. If you do not agree to this Policy, you must immediately cease all use of the Platform. This Policy applies to all Users, including individuals, employees, contractors, agents, and any other persons accessing the Platform on behalf of an organisation.

2. Scope

This Policy applies to: • All access to and use of the Platform, whether through a web browser, mobile application, API, or any other means; • All content, data, and materials uploaded, submitted, transmitted, or otherwise made available through the Platform; • All interactions between Users and the Platform, including communications with other Users or third parties facilitated by the Platform.

3. Definitions

For the purposes of this Policy: • "Account" means a registered user account created to access the Platform. • "Content" means any data, text, files, documents, images, audio, video, code, or other materials that a User uploads, submits, stores, or transmits through the Platform. • "Confidential Information" means non-public information disclosed by one party to another in connection with the use of the Platform. • "POPIA" means the Protection of Personal Information Act 4 of 2013, as applicable in South Africa. • "Personal Information" has the meaning ascribed to it under POPIA. • "Prohibited Content" means any Content that violates this Policy or applicable law.

4. Permitted Use

Subject to the terms of this Policy and any applicable subscription or service agreement, Users are permitted to: 4.1 Access and use the Platform solely for lawful business or personal purposes consistent with the intended functionality of the Platform; 4.2 Upload, store, and process Content that the User owns or has the right to use, and that does not violate the rights of any third party; 4.3 Collaborate and communicate with other authorised Users through features made available on the Platform; 4.4 Integrate the Platform with third-party tools and services where such integrations are expressly supported and authorised by Squire (Pty) Ltd; 4.5 Export or download Content that the User has lawfully uploaded, subject to applicable terms.

5. Prohibited Use

Users must not use the Platform in any manner that: 5.1 Violates Applicable Law • Breaches any applicable local, national, or international law or regulation, including but not limited to the laws of South Africa; • Violates data protection laws, including POPIA; • Infringes any intellectual property, privacy, or proprietary rights of any third party. 5.2 Involves Harmful or Offensive Content • Uploads, transmits, or distributes Content that is defamatory, obscene, hateful, discriminatory, threatening, harassing, or otherwise objectionable; • Promotes violence, terrorism, illegal activity, or the exploitation of minors. 5.3 Compromises Security or Integrity • Attempts to gain unauthorised access to the Platform, its systems, networks, or any other User's Account; • Introduces malware, viruses, ransomware, trojans, or any other malicious code or software; • Circumvents, disables, or otherwise interferes with security features, authentication mechanisms, or access controls; • Conducts or facilitates phishing, spoofing, or social engineering attacks. 5.4 Disrupts Platform Operations • Uses the Platform in a manner that places an unreasonable or disproportionate load on Squire (Pty) Ltd's infrastructure; • Interferes with or disrupts the integrity or performance of the Platform or its underlying systems; • Uses automated tools, bots, scrapers, or crawlers to access or extract data from the Platform without prior written consent from Squire (Pty) Ltd. 5.5 Misuses Data or Accounts • Shares Account credentials with unauthorised persons or otherwise allows third parties to access the Platform using the User's Account; • Creates false or misleading Accounts, or impersonates any person or entity; • Collects, harvests, or aggregates Personal Information of other Users without authorisation. 5.6 Engages in Commercial Exploitation • Resells, sublicenses, or otherwise commercialises access to the Platform without the express written consent of Squire (Pty) Ltd; • Uses the Platform to develop competing products or services without authorisation.

6. User Responsibilities

6.1 Account Security Users are responsible for maintaining the confidentiality of their Account credentials and for all activities conducted under their Account. Users must notify Squire (Pty) Ltd immediately at contact@squire.law upon becoming aware of any unauthorised access or security breach. 6.2 Accurate Information Users must provide accurate, current, and complete information when creating an Account or interacting with the Platform, and must promptly update such information as necessary. 6.3 Compliance with Laws Users are solely responsible for ensuring that their use of the Platform complies with all applicable laws and regulations in their jurisdiction, including data protection, intellectual property, and employment laws. 6.4 Content Responsibility Users are solely responsible for the Content they upload or transmit through the Platform. Squire (Pty) Ltd does not endorse, verify, or take responsibility for User Content unless expressly stated otherwise. 6.5 Organisational Users Where Users access the Platform on behalf of an organisation, the organisation is responsible for ensuring that all its personnel comply with this Policy and are adequately trained in its requirements.

7. Intellectual Property

7.1 All intellectual property rights in the Platform, including software, design, trademarks, and documentation, remain the exclusive property of Squire (Pty) Ltd or its licensors. 7.2 Users retain ownership of Content they upload to the Platform, subject to the licence granted to Squire (Pty) Ltd under the Terms of Service. 7.3 Users must not copy, modify, distribute, sell, or sublicense any part of the Platform without Squire (Pty) Ltd's prior written consent. 7.4 Users must not remove or alter any copyright, trademark, or proprietary notices on the Platform.

8. Data Protection and Privacy

8.1 POPIA (South Africa) Where Users are located in or process Personal Information of individuals in South Africa, they must comply with POPIA, including the processing conditions set out in Part A of Chapter 3 of that Act. 8.2 User Obligations Users must: • Process Personal Information only for the purposes for which it was collected and as permitted by applicable law; • Not use the Platform to unlawfully collect, process, or disclose Personal Information of third parties; • Cooperate with Squire (Pty) Ltd in responding to data subject access requests and regulatory inquiries as required by applicable law. 8.3 Squire's Obligations Squire (Pty) Ltd's collection and processing of Personal Information in connection with the Platform is governed by the Squire Privacy Policy, available at www.squire.law/privacy.

9. Security

9.1 Squire (Pty) Ltd employs reasonable technical and organisational measures to protect the Platform and its data. However, Squire (Pty) Ltd does not warrant that the Platform will be free from unauthorised access or security incidents. 9.2 Users must promptly report any suspected security vulnerabilities, breaches, or incidents to Squire (Pty) Ltd at contact@squire.law. 9.3 Users must not conduct penetration testing, vulnerability scanning, or any security assessment of the Platform without the express prior written authorisation of Squire (Pty) Ltd.

10. Monitoring and Enforcement

10.1 Squire (Pty) Ltd reserves the right, but not the obligation, to monitor use of the Platform to ensure compliance with this Policy and applicable law. 10.2 Squire (Pty) Ltd may, at its sole discretion and without prior notice: • Remove or disable access to any Content that violates this Policy; • Suspend or terminate a User's Account; • Report suspected unlawful activity to the relevant authorities. 10.3 Squire (Pty) Ltd will exercise its enforcement rights proportionately and in accordance with applicable law.

11. Consequences of Violations

11.1 Violations of this Policy may result in: • Suspension or permanent termination of the User's Account; • Removal of Content from the Platform; • Civil or criminal liability, where applicable; • Notification to the User's employer or organisation, where the User accesses the Platform in a professional capacity. 11.2 Squire (Pty) Ltd reserves all rights and remedies available under applicable law in respect of any violation of this Policy.

12. Reporting Violations

Users who become aware of any violation of this Policy, or any Content or conduct that they believe to be inappropriate, unlawful, or harmful, should report it to Squire (Pty) Ltd at: Email: contact@squire.law Subject line: "AUP Violation Report" Squire (Pty) Ltd will investigate all reports and take appropriate action in accordance with this Policy.

13. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied. Squire (Pty) Ltd does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Squire (Pty) Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with a User's use of or inability to use the Platform, including as a result of a violation of this Policy by the User or any third party.

15. Amendments

Squire (Pty) Ltd reserves the right to amend this Policy at any time. Where changes are material, Squire (Pty) Ltd will provide reasonable notice to Users via email or a prominent notice on the Platform. Continued use of the Platform following the effective date of any amendment constitutes acceptance of the revised Policy.

16. Governing Law and Dispute Resolution

16.1 This Policy shall be governed by and construed in accordance with the laws of South Africa. 16.2 Any disputes arising out of or in connection with this Policy shall be subject to the exclusive jurisdiction of the competent courts of Cape Town, South Africa, as applicable to the User's jurisdiction.
